Master Service Agreement & Engagement Terms
1. Provision of Services
Vynox LLC provides high-level engineering and technical consulting services. All engagements are governed by individual Statements of Work (SOW) which detail the specific deliverables, timelines, and technical requirements.
2. Intellectual Property
Unless otherwise specified in a signed SOW, all custom-engineered code and infrastructure designs developed specifically for a client become the property of the client upon full payment. Vynox LLC retains rights to its pre-existing proprietary tools and methodologies.
3. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary technical information, business strategies, and internal data encountered during the term of the engagement.
4. Limitation of Liability
Vynox LLC provides high-performance solutions but does not guarantee specific commercial outcomes. Our liability is limited to the fees paid for the specific service phase in question.
